Vendor Agreement

This Vendor Agreement ("Agreement") is made and entered into on this __________ ["date"] by and between The Community Boutique ("Boutique"), located at 1244 E 7th Street, Los Angeles, CA 90021 and ________________ ("Vendor"), located at ________________________(address) ___________________(City), _______________ (State) ________ (zip).

 

1. Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Vendor will provide products to the Boutique for sale on a consignment basis.

2. Term

This Agreement shall commence on _______________ (start date)  and continue until terminated by either party with 30 days written notice.

3. Products: 

Vendor agrees to provide the following ("Products") to the Boutique:

4. Pricing and Payment:

4.1 The Vendor and the Boutique agree on the retail prices of the Products.

4.2 The Boutique will retain [30-40]% of the retail price as a consignment fee. The remaining [60-70]% will be paid to the Vendor.

4.3 Payments to the Vendor will be made on a monthly basis, no later than the [15th] day of the following month for all Products sold in the previous month.

4.4 The Boutique will provide a sales report to the Vendor with details of Products sold.

 

5. Delivery and Inventory

5.1 The Vendor is responsible for delivering Products to the Boutique at the Vendor's expense.

5.2 The Boutique will manage the inventory and inform the Vendor when stock levels are low.

5.3 The Vendor retains ownership of all Products until they are sold.

 

6. Display and Marketing

6.1 The Boutique agrees to display the Products in a prominent and professional manner.

6.2 The Boutique will promote the Products through various marketing channels, including in-store promotions, online marketing, and social media.

 

7. Quality and Liability

7.1 The Vendor guarantees that all Products are of high quality and free from defects.

7.2 The Vendor agrees to replace any defective Products at no additional cost to the Boutique.

7.3 The Vendor is responsible for all liabilities related to the Products, including but not limited to product liability claims.

 

8. Termination

8.1 Either party may terminate this Agreement with 30 days written notice.

8.2 Upon termination, the Vendor is responsible for collecting any unsold Products from the Boutique within 15 days.

8.3 The Boutique will pay the Vendor for any Products sold up to the date of termination.

 

9. Confidentiality

Both parties agree to keep confidential any information related to the business practices of the other party.

 

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of California.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
